This Legal Notice sets out information about Rainy Day Studios, the terms governing your use of this website and certain general terms applying when you purchase from us.

Our Refund Policy, Shipping Policy and Privacy Policy also apply where relevant. Please read these documents before placing an order.

Nothing in this Legal Notice limits or excludes any rights or remedies available to you under applicable consumer law.

Scope of these terms

These terms apply to your use of the Rainy Day Studios website.

Separate terms displayed in our Refund Policy, Shipping Policy, Privacy Policy, product descriptions, commission correspondence or other information presented before checkout may also form part of the agreement between you and Rainy Day Studios.

Where there is any conflict between these terms and a mandatory right provided by law, the mandatory legal right will take priority.

 

Using this website

You may use this website for lawful personal or business purposes.

You must not:

  • use the website fraudulently or unlawfully;

  • attempt to gain unauthorised access to the website, its systems or connected services;

  • introduce viruses, malicious code or other harmful material;

  • interfere with the operation or security of the website;

  • scrape, reproduce or commercially exploit website content without permission;

  • submit information that is false, misleading, defamatory, infringing or unlawful; or

  • use the website in a way that could damage Rainy Day Studios or prevent another person from using it.

We may restrict or suspend access to the website where reasonably necessary for maintenance, security, legal compliance or the protection of our business and customers.

 

Website availability

We take reasonable steps to keep the website available and accurate, but we do not guarantee that it will always be uninterrupted, secure or free from errors.

The website may occasionally be unavailable because of maintenance, technical problems, platform disruption or circumstances outside our reasonable control.

We may update, withdraw or change website content, products and functionality where reasonably necessary.

Nothing in this section affects an order that we have already accepted or any statutory rights relating to that order.

 

Product information

We take reasonable care to ensure that product descriptions, measurements, photographs, materials, colours, prices and other information are accurate.

Due to differences between screens, lighting and photography, the colour of a physical item may vary slightly from its appearance on your device.

Measurements stated on product pages may be subject to reasonable manufacturing tolerances. Any material feature that is likely to affect the product’s use will be stated as accurately as reasonably possible.

Product images may include props, styling items or background objects that are not included with the product. The product description will explain what is included.

Nothing in this section permits us to supply goods that do not match their description or fails to meet the requirements of applicable consumer law.

 

Handmade products

Some Rainy Day Studios products are handmade, hand-bound, hand-finished, hand-cut and/or assembled in small batches.

Minor variations may occur between handmade items, including slight differences in:

  • positioning;

  • dimensions within a reasonable tolerance;

  • stitching;

  • binding;

  • paper or board alignment;

  • foil or debossed impressions;

  • print placement;

  • surface texture; and

  • other characteristics arising naturally from the handmade process.

These minor variations are not defects where they are consistent with the product description, photographs, samples and reasonable expectations for a handmade item.

This does not affect your rights where an item is faulty, unsafe, materially different from its description, not of satisfactory quality or not fit for a purpose that you made known to us before purchase.

 

Paper, printing and stationery products

Paper, ink, pens and printing methods may perform differently depending on the materials, ink flow, nib size, pressure, drying time and manner in which they are used.

Where we describe paper using terms such as “fountain pen friendly”, “suitable for markers” or similar wording, that description is based on reasonable testing under the conditions stated on the relevant product page. Unless expressly stated otherwise, it does not guarantee identical results with every pen, ink, marker or method of use.

Any specific compatibility requirement should be raised with us before ordering.

 

Personalised products

A personalised product is an item produced or altered using information selected or supplied by you, such as a name, wording, date, initials, colour combination or other personal detail.

You are responsible for checking that all personalisation information submitted to us is correct, including spelling, punctuation, dates, capitalisation, measurements and other instructions.

Where we provide a proof for approval, you must check it carefully. Once you approve the proof, production may begin. We are not responsible for an error contained in information or a proof that you supplied or approved, unless we failed to follow the approved information correctly.

Please contact us immediately if you notice an error. We will try to accommodate changes that are requested before production begins, but changes cannot be guaranteed once materials have been ordered, printing has begun or the item has entered production. A request to alter the personalisation after order may require a revised price and completion date. We will obtain your agreement before charging an additional amount.

Goods made to your specifications or clearly personalised may be exempt from the statutory right to cancel a distance contract because you have changed your mind. This exemption does not affect your rights if the product is faulty, not as described, not of satisfactory quality or not produced in accordance with the agreed specification.

 

Custom orders and commissions

Custom orders and commissions are produced following an individual specification agreed between you and Rainy Day Studios.

Before work begins, we may confirm matters including:

  • the scope of the commission;

  • the materials and format;

  • dimensions;

  • personalisation;

  • estimated production time;

  • price;

  • payment arrangements;

  • the number of proof or amendment stages included; and

  • any relevant limitations.

The agreed product description, written quotation, invoice, product listing and commission correspondence may form part of the contract.

You must provide complete, accurate and lawful instructions within any agreed timeframe. A delay in receiving instructions, content, measurements, approval or other required information may delay completion.

We may refuse instructions that are unlawful, abusive, discriminatory, defamatory, infringing, unsafe or outside the agreed scope of the commission.

A request to alter the specification after approval may require a revised price and completion date. We will obtain your agreement before charging an additional amount.

Where a commissioned or custom-made item is made to your specifications or clearly personalised, the statutory change-of-mind cancellation right may not apply. Your rights relating to faulty, misdescribed or non-conforming goods remain unaffected.

 

Customer-supplied content

Where you provide text, images, artwork, logos, names or other content for use in a personalised product or commission, you confirm that:

  • you are entitled to provide and use that content;

  • our use of it to fulfil your order will not infringe another person’s rights;

  • the content is not unlawful, defamatory, threatening or abusive; and

  • the content does not violate any applicable law.

You retain ownership of customer-supplied content.

You give Rainy Day Studios a limited, non-exclusive permission to use, reproduce, resize, format or otherwise process that content only as reasonably necessary to assess, produce, administer and fulfil your order.

We may refuse or cancel an order where we reasonably believe that customer-supplied content is unlawful, infringes intellectual property rights or could expose us or another person to legal or safety risks. Where cancellation results from content supplied by you, any refund will be dealt with according to the work already completed, costs reasonably incurred and your statutory rights.

We may retain order files for record-keeping, dispute management and legal compliance in accordance with our Privacy Policy.

 

Intellectual property

Unless otherwise stated, the website and its contents are owned by or licensed to Rainy Day Studios.

This includes, where applicable:

  • illustrations;

  • characters;

  • artwork;

  • product designs;

  • patterns;

  • photographs;

  • graphics;

  • logos;

  • branding;

  • packaging designs;

  • written copy;

  • product names;

  • templates; and

  • the layout and presentation of website content.

Copyright, trade mark rights, design rights and all other intellectual property rights are reserved.

Purchasing a physical or digital product does not transfer ownership of the intellectual property contained in that product.

Unless a separate written commercial licence expressly permits it, products and content are supplied for personal use only. You must not reproduce, copy, scan, trace, modify, distribute, sell, manufacture from, commercially exploit or create derivative products from Rainy Day Studios content.

You may share links to our publicly available website pages and may share photographs of products you have purchased for ordinary personal or social-media use, provided that the content is not misleading and our work is not presented as your own.

Permission for any other use must be requested in writing.

 

Product availability

Products are subject to availability.

Placing an item in your basket does not reserve it. An item may become unavailable before checkout is completed.

We may limit quantities where reasonably necessary, including where stock is limited, a listing error has occurred or we reasonably suspect fraudulent or unauthorised resale activity.

Where an item becomes unavailable after you place an order, we will contact you and provide an appropriate remedy, which may include offering an alternative where you agree or refunding the amount paid for the unavailable item.

 

Prices and payment

Prices are shown in pounds sterling.

The price payable is the price displayed at checkout when you place your order, together with any delivery charge or other amount clearly disclosed before payment.

Prices include applicable taxes where required.

We may change prices at any time, but a later price change will not affect an order that we have already accepted.

Payment must be made using one of the methods offered at checkout.

You confirm that you are authorised to use the chosen payment method and that the payment details supplied are accurate.

 

Pricing and listing errors

We take reasonable care to ensure that product information and prices are correct.

Where a genuine and obvious error affects a price, product description, delivery charge, discount or availability, we may contact you before accepting or fulfilling the affected order.

We will not rely on this clause to avoid an order merely because we later decide that a properly displayed price was commercially disadvantageous.

Where an error is discovered after payment, we may give you the choice of proceeding on the corrected terms or cancelling the affected item for a full refund. We will not charge a corrected or additional amount without your agreement.

 

Placing an order

By placing an order, you are making an offer to purchase the goods shown in your order.

You must check the order details carefully before submitting it.

After the order is submitted, you will normally receive an acknowledgement email. An acknowledgement confirms that we have received your order but does not necessarily mean that the order has been accepted.

Unless we expressly state otherwise, a contract is formed when we send an order confirmation or dispatch confirmation indicating that the order has been accepted.

We may decline an order before acceptance for a legitimate reason, including:

  • the item is unavailable;

  • payment has not been authorised;

  • an obvious pricing or listing error has occurred;

  • delivery is not available to the supplied address;

  • required personalisation or commission information has not been provided;

  • customer-supplied content cannot lawfully be used;

  • the order breaches a stated purchase restriction; or

  • we reasonably suspect fraud or misuse.

If we decline an order after receiving payment, we will refund the relevant amount.

 

Order confirmation

We will provide confirmation of your order in a form that you can retain, normally by email.

The confirmation may include or link to the order details and the policies applicable when the order was placed.

Please retain your confirmation and order number for your records.

 

Delivery

We currently deliver to eligible addresses within England, Scotland and Wales. We do not currently ship to Northern Ireland or destinations outside the stated delivery area.

Processing and delivery information is set out in our Shipping Policy and on relevant product pages.

Unless a different timeframe has been agreed with you, goods will be delivered without undue delay and no later than 30 days after the contract is entered into.

Delivery dates and times provided as estimates are not guaranteed unless we have expressly agreed a specific deadline with you.

If delivery within a particular period is essential, you should contact us before ordering so that we can confirm whether that requirement can be agreed.

 

Delivery risk and ownership

We remain responsible for the goods until they are delivered to you or to a person identified by you to receive them.

Where you independently arrange for a carrier that was not offered by Rainy Day Studios, responsibility may pass to you when the goods are handed to that carrier, to the extent permitted by law.

Ownership of the goods passes to you once we have received full payment and the goods have been delivered.

 

Cancellation and returns

Your rights to cancel, return an item or obtain a refund are explained in our Refund Policy.

For most goods purchased online, consumers have a statutory right to cancel within 14 days after receiving the goods, subject to applicable exemptions.

Goods made to the consumer’s specifications or clearly personalised may be exempt from the change-of-mind cancellation right.

Being handmade does not by itself remove cancellation rights. A standard handmade item that has not been made to your specifications or clearly personalised will normally be dealt with under the ordinary cancellation rules.

The cancellation exemption for personalised or made-to-specification goods does not remove your rights where goods are faulty, unsafe, not as described, not of satisfactory quality or not fit for purpose.

Nothing in these terms prevents you from exercising a statutory right or remedy.

 

Faulty, damaged or incorrect goods

Goods supplied by Rainy Day Studios must be:

  • of satisfactory quality;

  • fit for any particular purpose made known to us where you reasonably relied on our skill or judgement; and

  • as described.

Please contact us as soon as reasonably possible if an item is damaged, faulty, incorrect or materially different from its description.

We may request photographs or other reasonable information to help us understand and resolve the problem. Requiring reasonable evidence does not remove your statutory rights.

Depending on the circumstances and your legal rights, the available remedy may include repair, replacement, price reduction or refund.

We will bear reasonable return costs where goods are being returned because they are faulty, damaged, incorrect or otherwise do not conform to the contract.

 

Sale and promotional items

Sale, discounted and promotional goods remain covered by applicable consumer rights.

A reduction in price does not remove your cancellation rights or your rights where goods are faulty or misdescribed.

Where an item was discounted because of a specific defect that was clearly brought to your attention before purchase, you may not be entitled to treat that disclosed characteristic as a fault. Your remaining statutory rights are unaffected.

 

Digital products

Where Rainy Day Studios offers digital content, the relevant product page will explain the format, compatibility and method of delivery.

Where the law requires your express consent before digital content is supplied during the cancellation period, we will request that consent and your acknowledgement that the right to cancel may be lost once supply begins.

Digital content must be of satisfactory quality, fit for purpose and as described.

Gift cards

Gift cards are subject to the validity period, redemption conditions and other information shown when they are purchased.

Nothing in the gift-card terms affects statutory rights.

A gift card cannot ordinarily be exchanged for cash except where required by law. Where an order paid using a gift card is refunded, the refund may be returned to the original gift card or payment method, as appropriate.

 

Promotions and discount codes

Promotions and discount codes may be subject to specific terms disclosed with the offer.

Unless otherwise stated:

  • discount codes cannot be exchanged for cash;

  • only one code may be used per order;

  • a code must be used before its expiry;

  • a code may apply only to selected products;

  • delivery charges may be excluded; and

  • a code must be entered correctly at checkout.

We may withdraw or correct a promotion where there has been fraud, misuse or a clear and genuine error. This will not affect completed orders that we have already validly accepted, except where permitted by law.

 

Resale

Unless otherwise agreed in writing, products sold through our consumer website are intended for the customer’s own use and not for commercial resale.

Please contact us before placing an order intended for wholesale, retail resale or commercial distribution.

Nothing in this section prevents the lawful resale of an item that you own. It does not grant permission to reproduce our intellectual property or manufacture derivative products.

 

Reviews and user submissions

Where the website allows you to submit reviews, comments, photographs or other content, the submission must be honest, relevant and lawful.

You must not submit content that:

  • is false or misleading;

  • contains unlawful, discriminatory, threatening or abusive material;

  • infringes intellectual property, privacy or other rights;

  • contains malicious software;

  • impersonates another person; or

  • promotes unrelated goods or services without permission.

You retain ownership of your submission. By submitting it through a feature intended for publication, you give us a non-exclusive, royalty-free permission to display, reproduce and format it for operating and promoting Rainy Day Studios, subject to applicable privacy law.

We may moderate or remove submissions where reasonably necessary, but we are not obliged to publish every submission.

 

Third-party services and links

The website may contain links to third-party websites or use services provided by third parties, including payment, ecommerce, delivery or social-media platforms.

A link does not mean that we endorse or control the third party.

Third-party websites and services may have their own terms and privacy policies. We are not responsible for their independent content or conduct, except where the law makes us responsible for a service used to fulfil our contract with you.

Our use of a delivery provider does not remove our legal responsibility for goods before delivery to you.

 

Privacy and cookies

We process personal information in accordance with our Privacy Policy and applicable data-protection law.

Our Cookie Policy or cookie-management tool explains how cookies and similar technologies are used on the website.

You should publish separate Privacy and Cookie Policies alongside this Legal Notice.

 

Safety and appropriate use

You must follow any care instructions, warnings, age recommendations and intended-use information supplied with a product.

Stationery products, packaging, magnets, clips, wires, cords and small components may not be suitable for young children and may present choking, pinching or other hazards if misused.

Unless expressly described as a toy or children’s product, Rainy Day Studios products are not designed or tested as toys.

You are responsible for supervising children and vulnerable users appropriately.

This section does not exclude or restrict our responsibility for supplying a safe product or complying with applicable product-safety law.

 

Events, markets and in-person purchases

Rainy Day Studios may also sell products at markets, fairs, events or other physical locations.

Change-of-mind cancellation rights that apply to online distance contracts do not necessarily apply to purchases made in person.

Products purchased in person remain protected by statutory rights relating to goods that are faulty, unsafe, not as described or otherwise non-conforming.

Any voluntary change-of-mind return policy offered at an event will be stated at the point of sale.

 

Business customers

These terms are primarily written for customers purchasing as consumers.

A consumer is an individual acting wholly or mainly outside their trade, business, craft or profession.

Where you purchase wholly or mainly for business purposes, certain consumer protections may not apply. Any separate wholesale, trade or business terms agreed in writing will take priority for that transaction.

 

Our responsibility

Nothing in these terms excludes or limits liability where it would be unlawful to do so.

In particular, nothing excludes or limits liability for:

  • death or personal injury caused by negligence;

  • fraud or fraudulent misrepresentation;

  • breach of statutory rights that cannot lawfully be excluded;

  • defective products where liability cannot legally be excluded; or

  • any other matter for which liability cannot be excluded or restricted by law.

If you are a consumer, we are responsible for losses that are a foreseeable result of our breach of contract or failure to use reasonable care and skill.

A loss is foreseeable where it was obvious that it might happen or where both you and Rainy Day Studios knew, when the contract was formed, that it might happen.

We are not responsible for a loss that was not foreseeable, was not caused by our breach or arose from information or instructions supplied incorrectly by you.

Products supplied through our consumer shop are intended principally for private use. Subject to rights and liabilities that cannot be excluded, we are not responsible for business losses such as loss of profit, revenue, contracts, opportunity or goodwill arising from a consumer purchase.

 

Events outside our reasonable control

We are not responsible for delay or failure caused by an event outside our reasonable control where we have taken reasonable steps to reduce its effects.

Such events may include severe weather, fire, flood, transport disruption, postal disruption, industrial action, utility failure, failure of essential third-party systems, government restrictions or other comparable events.

We will contact affected customers where reasonably possible and will take reasonable steps to minimise delay.

This clause does not remove any right you may have to cancel or obtain a refund where delivery is not made within an agreed or legally required timeframe.

We hope to resolve any problem directly and fairly.

Please include your name, order number where applicable, a description of the issue and the outcome you are seeking.

We will acknowledge and consider complaints within a reasonable time.

We are not currently required to participate in an alternative dispute resolution procedure unless we separately state otherwise or the law requires it.

You may also seek independent advice from Citizens Advice or another appropriate consumer-advice service.

 

Changes to these terms

We may update this Legal Notice to reflect changes in law, our products, our website or the way our business operates.

The date at the top of the notice shows when it was last updated.

Changes will apply from the date on which the revised notice is published. They will not retrospectively alter an order already accepted unless the change benefits you, is required by law or is agreed with you.

The terms applying to an order will normally be those provided or made available when that order was placed.

 

Transfer of rights

You may transfer your statutory rights where the law permits.

We may transfer our rights and obligations under a contract to another organisation where this does not reduce your rights. We will notify you where a transfer materially affects you.

 

Severability

Each section of these terms operates separately.

If a court or other competent authority decides that a provision is unlawful or unenforceable, the remaining provisions will continue to apply.

 

No waiver

If we do not immediately enforce a right under these terms, that does not mean we have waived that right.

 

Entire agreement

These terms, together with the order details, product description, Refund Policy, Shipping Policy, Privacy Policy and any written specification or commission agreement, form the agreement between you and Rainy Day Studios concerning the relevant purchase.

Nothing in this section excludes liability for fraud or prevents a consumer from relying on statements or rights that the law treats as binding.

 

Third-party rights

Unless expressly stated otherwise, a person who is not a party to the contract has no right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.

This does not affect any right or remedy available independently of that Act.

 

Governing law and courts

If you are a consumer, these terms and any contract between you and Rainy Day Studios are governed by the laws of England and Wales.

You may bring legal proceedings in the courts of England and Wales.

If you live in Scotland, you may generally also bring proceedings in Scotland. If you live in Northern Ireland, you may generally also bring proceedings in Northern Ireland.

Nothing in this section removes any mandatory protection available to you under the law applying where you live.

If you are purchasing wholly for business purposes, the courts of England and Wales will have exclusive jurisdiction unless we agree otherwise in writing.
